Terms
Last updated
These terms apply to work by Ralice (Ihor Pysak, KvK 42107240). I send them with every proposal. Where a signed proposal says something different, the proposal wins.
If you hire me as a private person rather than as a business, the consumer rights of Dutch and EU law apply, including the right to cancel within 14 days, and nothing in these terms limits them. If you ask me to start within those 14 days and then cancel, you pay for the work done until then.
Quotes
Every project starts with a written proposal: what will be built, what is and isn't included (for example copy and photos), how many rounds of changes to the design are included, the price and the timeline. Prices exclude VAT. A proposal is valid for 30 days.
Payment
You pay half when we start and half when the site is ready to go live. If the launch waits on your side, the second half is due 14 days after I hand over the finished site. Projects from €7,500 are paid in three parts: 40% at the start, 30% after you approve the design and 30% at launch. Invoices are due within 14 days. If an invoice stays unpaid after a reminder, Dutch statutory interest applies.
Changes and extra work
Work outside the agreed scope only happens after you agree to its price in writing (an email is enough). Extra work is €75 an hour unless the proposal says otherwise.
Your content
You supply texts, photos and logos unless the proposal includes them, and you confirm you have the right to use them.
Ownership
Your domain, hosting and every account are registered in your name from the start. The copyright in the design and code passes to you once the project is paid in full. Themes, plugins, fonts and open-source code I use stay under their own licences. I may show the finished work in my portfolio unless you tell me not to.
Personal data and confidentiality
If the site I build or look after stores personal data of your customers, for example orders or form messages, we sign a data processing agreement as the GDPR requires. I keep what I learn about your business confidential.
Outside costs
Hosting, the domain, a Shopify plan, paid apps, plugins and fonts are billed to you directly by their providers, unless the proposal says otherwise.
Care plans
Care plans are billed monthly in advance and can be cancelled any month, effective from the next month. Included hours don't carry over. Response times count working days, Monday to Friday, excluding Dutch public holidays. I announce price changes at least 30 days ahead, so you can cancel before they apply.
After launch
For 30 days after launch I fix, at no cost, anything I built that doesn't work as agreed.
If a project stops early
If either of us ends a project before it's finished, you pay for the work done up to that point.
Liability
My liability is limited to the amount you paid for the project, or for a care plan, to the fees of the last three months. I'm not liable for indirect damage, lost profit, or outages of services run by others, such as hosting or Shopify. These limits don't apply to damage caused on purpose or through gross negligence.
Law
Dutch law applies. Disputes go to the competent court in the north of the Netherlands (Rechtbank Noord-Nederland).
